This document (“Seller Terms”) applies to business users/sellers using Gemma to upload a catalog, display items, receive AI-assisted categorization, analytics, and/or integrations (Shopify/Wix/Instagram), and similar business features.
These Seller Terms are supplemental to Gemma’s general Terms of Service and Privacy Policy. In the event of any conflict between these Seller Terms and the general Terms of Service, with respect to a Seller, these Seller Terms shall prevail.
Business user services: sellers may upload jewelry images, receive AI-assisted categorization, manage their catalog, access analytics, and integrate with external platforms (Shopify, Wix, Instagram).
These terms apply to a “Seller/Business User”. Terms not defined here have the meaning given in the Terms of Service.
The Seller undertakes to provide accurate business information, keep it updated, and ensure it has legal authority to offer/market the uploaded items. Gemma may request reasonable documents/evidence for verification (e.g., brand ownership, supplier invoices, compliance/labeling documents where relevant).
The Seller is responsible for all content it uploads (images/description/price/stock/material/sizes). The Seller must not upload misleading content, rights-infringing content, or content not owned/appropriately licensed.
The Seller grants Gemma a non-exclusive license to use the content to operate the Platform, display items, market them, and generate reports/analytics.
For the avoidance of doubt, the license also includes necessary technical adaptations (such as resizing, compression, and format conversion) for the purpose of displaying, storing, and distributing the content on the Platform and in Gemma’s marketing materials.
The Seller must not upload counterfeit / IP-infringing / stolen products or products prohibited for sale in Israel. The Seller represents that items comply with applicable law, including labeling/standards/disclosure obligations where applicable.
The Seller undertakes to keep price and availability up to date. If links lead to the Seller’s third-party website, responsibility for website content, final price, shipping/taxes/payments lies with the Seller only.
Any transaction, fulfillment, charging, returns, cancellations, warranty and support are the Seller’s sole responsibility in accordance with the Seller’s policies and applicable law. Gemma is not a party to the transaction and does not provide the Seller’s customer support.
Gemma may (but is not obligated to) review/filter content. Gemma may remove/suspend items or a Seller account at its discretion, including in cases of suspected violations, user complaints, or legal compliance needs.
Integrations are connected with the Seller’s authorization and at the Seller’s responsibility, subject to third-party terms/policies. Gemma is not responsible for outages, API changes, or third-party limitations.
Gemma may provide Sellers with aggregated metrics (e.g., views/likes/CTR) that do not identify individual users. Gemma does not guarantee accuracy/completeness of these metrics.
The Seller shall indemnify Gemma for claims/damages/expenses arising from uploaded content, legal violations, third-party rights violations, prohibited products, or customer disputes.
Seller services are provided AS-IS; Gemma does not guarantee business outcomes, sales, rankings, or uninterrupted availability.
